Terms of Service

Last updated: April 2026 · BidBridge Texas is a DBA of an existing Texas LLC based in Frisco, Texas.

1. Introduction and Acceptance

Welcome to BidBridge Texas ("Platform", "we", "us", or "our"). By accessing or using bidbridgetexas.com and its associated services, you ("User") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use this Platform.

BidBridge Texas is an introduction and matching platform only. We connect commercial clients seeking construction services with independent licensed contractors. We are not a contractor, construction company, employer, staffing agency, or party to any project agreement between clients and contractors.

2. Platform Role and Limitations

BidBridge Texas acts solely as an intermediary to facilitate introductions between clients and contractors. Our role ends when both parties are connected via our Match Confirmation system.

We are NOT responsible for: the quality, safety, legality, or completion of any construction work; any disputes between clients and contractors; payment disputes or non-payment; injuries, property damage, or losses arising from any project; contractor licensing, insurance status, or professional conduct after verification; project delays, cost overruns, or scope changes.

All construction work, contracts, payments, and project management are conducted exclusively between the client and contractor. BidBridge Texas is not a party to any such agreement.

3. User Eligibility and Accounts

You must be at least 18 years of age and have legal authority to enter into contracts to use this Platform. By registering, you represent that all information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to your account. BidBridge Texas reserves the right to suspend or terminate accounts that violate these Terms.

4. For Clients

Posting projects on BidBridge Texas is free. By posting a project you represent that you have legal authority to commission the described work and that the project is for legitimate commercial purposes with a minimum value of $10,000.

Your contact information remains private until you choose to request contact with a contractor. Once contact is requested, both parties receive each other's information directly. You acknowledge that BidBridge Texas makes no warranties regarding contractor quality, licensing status after initial verification, or project outcomes.

You agree to execute a written contract with your selected contractor before any work begins. BidBridge Texas strongly recommends consulting with a licensed attorney before signing any construction contract.

5. For Contractors

By applying to join BidBridge Texas, you represent that you hold all required licenses and insurance for the work you perform in Texas, and that you will maintain such credentials throughout your participation on the Platform.

Platform Fee: You agree to pay BidBridge Texas a platform fee for any project you win through the Platform. Fee structure: projects under $10,000 — flat fee of $150; projects $10,000 to $100,000 — 2% of agreed contract value; projects over $100,000 — 2% on the first $100,000, 1.5% on amounts between $100,000 and $400,000, and 1% on amounts above $400,000.

You agree to self-report the agreed contract value within 14 days of executing a contract with a client introduced through BidBridge Texas. Failure to report or pay the applicable fee constitutes a material breach of these Terms and may result in permanent removal from the Platform and legal action to recover unpaid fees.

You acknowledge that you are an independent contractor, not an employee or agent of BidBridge Texas. You are solely responsible for your own licensing, insurance, taxes, employees, subcontractors, and compliance with all applicable laws.

6. Verification and Accuracy

BidBridge Texas performs initial verification of contractor credentials including TDLR license checks and insurance certificate review. However, we do not continuously monitor contractor license or insurance status after initial verification.

Clients are strongly encouraged to independently verify contractor credentials before executing any contract. Verification by BidBridge Texas does not constitute an endorsement, guarantee, or warranty of any contractor's work quality, reliability, or professional conduct.

7. Prohibited Conduct

You agree not to: circumvent the Platform to avoid paying applicable fees by conducting business directly with a party first introduced through BidBridge Texas outside of the Platform; post false, misleading, or fraudulent project listings or contractor profiles; harass, threaten, or engage in discriminatory conduct toward other users; use the Platform for any unlawful purpose; attempt to reverse engineer, hack, or disrupt the Platform or its systems.

Circumvention of platform fees is a material breach of these Terms. BidBridge Texas reserves the right to pursue all available legal remedies for fee circumvention.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIDBBRIDGE TEXAS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO PROPERTY DAMAGE, PERSONAL INJURY, LOST PROFITS, OR CONSTRUCTION DEFECTS.

IN NO EVENT SHALL BIDBBRIDGE TEXAS'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO BIDBBRIDGE TEXAS IN THE SIX MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless BidBridge Texas and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Platform, your violation of these Terms, or your violation of any rights of any other person or entity.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in Collin County, Texas.
